The following regulations shall be abided by the 100% Foreign Company, and Joint Venture Company formed with Myanmar Citizens and Foreigners while operating the Wholesale/Retail business: 

For wholesaling and retailing shall be carried out by the 100% Foreign Company: -

(i) if the business is wholesaling, the initial investment capital on distributed commodities is United States Dollars 5 Million and above in which the land leasing fees is no included; 

(ii) if the business is retailing, the initial investment capital on distributed commodities is United States Dollars 3 Million and above in which the land leasing fees is no included;

For wholesaling and retailing shall be carried out by the Joint Venture Company formed with Myanmar Citizens and Foreigners: -

(i) The joint venture company when the equity ratio of Myanmar Citizens is more than (20%), the following regulations shall be abided: - 

(aa) if the business is wholesaling, the initial investment capital on distributed commodities is United States Dollars 2 Million and above in which the land leasing fees is no included;

(bb) if the business is retailing, the initial investment capital on distributed commodities is United States Dollars 700,000 and above in which the land leasing fees is no included;

(ii) if the joint venture company when the equity ratio of Myanmar Citizens is less than (20%) it shall be followed the regulations as per para 5 (a).

100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners is prohibited to operate wholesale/retail distribution which has the floor area of less than 929 square meters including Mini Market and Convenience Store.

The following regulations shall be abided by the 100% Myanmar Citizens Company or 100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners while operating the Wholesale/Retail business:

(a) the 100% Myanmar Citizens Company or 100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners which has incorporated after the date of issuance of this regulations shall apply the Registration for Wholesale/Retail distribution with the following evidence documents: -

(i) Company Registration Certificate;

(ii) MIC Endorsement Permit (Copy)၊  MIC Permit (Copy)( the foreign companies and foreign joint venture companies which required to get MIC Permit or Endorsement Permit);

(iii) Recommendation letter from the relevant City Development Committee or Township Development Committee located at Region/State;

(iv) List of commodities to be distributed under Wholesale/Retail business;

(v) Detailed Business Plan by mentioning initial investment capital for Wholesale/Retail distribution business, location of the business, area, etc.

The companies doing wholesale/retail distribution business shall operate at the defined days and time at the designated location and areas and number of shops as per prescribed regulations issued by the Nay Pyi Taw/Yangon/Mandalay City Development Committee or Township Development Committee from respective Region/State and local authorities;

The companies doing wholesale/retail distribution business shall abide the respective laws, rules, procedures and regulations for the distribution of goods with standardized and consumers’ safetyness, providing after sales service as per guarantee at the time of sales of goods and concern for the environmental conservation.

The prohibited goods in accordance with the existing laws. Notifications and regulations shall not be distributed by the registered 100% Myanmar Citizens Company or 100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners.

The 100% Myanmar Citizens Company or 100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners which is operating Wholesale/Retail distribution business shall abide the Laws, Rules and Regulations of Myanmar and avoid to perform unfair competition in the business of selling goods and providing services.

The 100% Myanmar Citizens Company or 100% Foreign Company or Joint Venture Company formed with Myanmar Citizens and Foreigners which is operating Wholesale/Retail distribution business shall pay the taxes levied for the importation and distribution by the respective department in accordance with the existing Laws, Rules, Regulations, Procedures, Orders and Directives. and Regulations of Myanmar and avoid to perform unfair competition in the business of selling goods and providing services.

The Wholesale/Retail registered companies which intend to open new shop shall inform to the Ministry of Commerce within (90) days ahead of opening of the new shop and shall abide the regulations for the opening of new shop.
